Terms of Service

Welcome to Campaigne! We’re excited to provide you with our comprehensive digital services. To ensure a smooth collaboration, these terms establish the framework for our partnership. Please read carefully as they outline your rights and obligations as a client of CodePulse LLC.

Agreement to Terms

By subscribing to our services, you agree to the terms outlined below. If you are subscribing on behalf of a business or legal entity, you confirm that you have the authority to bind that entity to these terms.

Intention of Service

Campaigne’s goal is to help clients achieve their digital marketing, design, and development objectives. Each month, the client and Campaigne will set goals to be accomplished during the billing cycle. Both parties are responsible for working together to ensure these objectives are met.

  • If achieving the set goals is delayed or hindered due to the client’s feedback or response time, Campaigne is not responsible for these delays.
  • During any waiting period for feedback or approval, Campaigne may work on other agreed tasks to maximize productivity.
  • New tasks can be added within the same billing cycle, provided both parties agree. Additionally, tasks can be modified if mutually agreed upon.
  • Allocation of Time: Campaigne will allocate time and resources each month with the intent to complete the agreed-upon goals. However, if the client requires excessive rounds of feedback or external factors cause delays, certain tasks may be deferred to the following month. The client will be notified of all progress by the weekly progress update emails.

Subscription Services Scope of Work

Campaigne offers a flat-rate subscription model that provides access to a variety of services, including design, programming, and online marketing. It’s important to note that the subscription is not a guarantee of unlimited work but rather a package deal designed to offer flexibility and fairness for both parties.

  • Campaigne will work within a reasonable allocation of time each month to achieve the set goals. If more time is required due to scope increases or other unforeseen factors, clients may have the option to upgrade their subscription to accommodate additional hours or services.
  • This service structure ensures that clients can access a variety of expertise without the need for multiple separate service providers, but it is bound by the agreed capacity.

Optional Add-Ons

To accommodate increased demands or provide additional services, Campaigne offers optional add-ons:

  • Campaigne Boost: For larger projects or campaigns that require extra attention or resources, the Campaigne Boost option allows you to add additional resources to fast-track specific tasks. This service is available at €399 per week.
  • Campaigne Connect: For those who require closer, real-time communication, we offer Campaigne Connect, a premium service integrating with your team via Slack or Microsoft Teams for €200 per month. This enhances collaboration and streamlines project management.

Client Meeting Rights and Responsibilities

Campaigne highly recommends regular communication to ensure goals are met and projects stay on track. The client has the following meeting possibilities:

  • Monthly Meeting: The client is entitled to a monthly meeting to review progress, discuss upcoming tasks, and refine goals. This meeting is highly recommended but optional.
  • Mid-Cycle 30-Minute Meeting: In the middle of each billing cycle, the client is entitled to a 30-minute meeting to discuss project progress and review the achieved goals.

If the client chooses not to schedule or attend any of these meetings or is unavailable, work will proceed as best as possible without them. However, it is the client’s responsibility to collaborate with us in scheduling and attending these meetings. Without regular feedback, Campaigne will continue working based on prior agreed tasks and objectives.

Billing, Payment Cancellation

Campaigne operates on a monthly billing cycle. Subscriptions are paid at the start of each billing period, and we work continuously within that cycle to accomplish the set goals.

  • Monthly Payments: Your subscription fees are billed in advance, and payment is required to maintain active service. Any missed or delayed payments may result in a temporary suspension of services until payment is received.
  • Cancellation Policy:
  • Client Cancellation: You can cancel your subscription at any time. However, cancellation will take effect at the end of the current billing cycle, and no refunds will be provided for that period.
  • Campaigne’s Right to Terminate: Campaigne reserves the right to terminate the contract at any time. If termination occurs, Campaigne will either complete the current month’s work by agreement or issue a partial refund if it is impossible or impractical to complete the tasks for any reason.
  • Refund Policy: A full refund is available if you cancel within the first 14 days of your first billing month. Beyond that, refunds will not be provided within the billing cycle, except in cases where Campaigne terminates the contract and cannot fulfill the remaining tasks.

Client Responsibilities

Clients are expected to provide all necessary materials, information, and timely feedback to ensure the smooth execution of projects. Failure to do so may result in delays or an inability to complete certain tasks within the billing cycle.

  • Feedback and Approvals: Prompt feedback is essential to keep projects on track. Delays in response or excessive rounds of feedback may push tasks into the next billing period.
  • Rights to Materials: The client must ensure they hold the necessary rights to any materials they provide for the project. Campaigne is not liable for the use of any client-supplied content that violates intellectual property laws.

Intellectual Property

Upon receipt of full payment, all deliverables produced by Campaigne under your subscription become your intellectual property. Campaigne retains the right to showcase the completed work for promotional purposes unless otherwise requested by the client.

Limitation of Liability

While Campaigne strives to deliver high-quality services, we cannot be held liable for indirect or incidental damages, including lost profits or delays caused by the client or third-party factors. Our total liability for any claims is limited to the subscription fee paid in the preceding three months.

Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the issue through amicable discussion. If a resolution cannot be reached, the dispute will be subject to binding arbitration under the laws of the State of Wyoming, USA.

Updates to Terms

Campaigne reserves the right to update these terms as necessary to reflect changes in our service offerings or legal requirements. Continued use of our services after any updates will be considered acceptance of the revised terms.
